Terms of Service

These Terms of Service ("Terms") govern your use of the Revitaco care management platform. By using our services, you agree to these Terms.

1. Definitions

  • "Revitaco", "we", "us", or "our" means JG Core Ltd (trading as Revitaco)
  • "Customer", "you", or "your" means the care home operator subscribing to our services
  • "Platform" means our care management software, including web and mobile applications
  • "Users" means individuals authorised by you to access the Platform
  • "Customer Data" means all data you or your Users input into the Platform

2. Our Services

2.1 Platform Access

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable right to access and use the Platform for your internal care management operations.

2.2 Service Availability

We aim to maintain high platform availability and will use commercially reasonable efforts to minimise downtime. Scheduled maintenance will be notified in advance where possible. We are not liable for downtime caused by factors outside our control.

2.3 Updates and Changes

We may update the Platform to improve functionality, fix bugs, or comply with regulations. We will provide reasonable notice of significant changes that may affect your use.

3. Your Obligations

3.1 Accurate Information

You must provide accurate and complete information when registering and maintain up-to-date account details.

3.2 User Management

You are responsible for:

  • Managing User accounts and access permissions
  • Ensuring Users comply with these Terms
  • Promptly removing access for terminated employees
  • Keeping login credentials secure

3.3 Acceptable Use

You must not use the Platform to:

  • Violate any applicable laws or regulations
  • Infringe intellectual property or privacy rights
  • Transmit malicious code or attempt to breach security
  • Interfere with Platform performance or other users
  • Store or transmit illegal content

3.4 Regulatory Compliance

You remain responsible for complying with all applicable care sector regulations, including CQC requirements. The Platform is a tool to support compliance but does not guarantee regulatory approval.

4. Customer Data

4.1 Ownership

You retain all rights to Customer Data. We do not claim ownership of any data you input into the Platform.

4.2 Our Use of Customer Data

We only process Customer Data as necessary to provide the services and as described in our Privacy Policy and Data Processing Addendum.

4.3 Data Export

You may export your Customer Data at any time through the Platform's export features. Upon termination, we will provide reasonable assistance for data export.

4.4 Backup and Recovery

We maintain regular backups of Customer Data. However, you are responsible for maintaining your own records as required by care sector regulations.

5. Fees and Payment

5.1 Pricing

Fees are based on your registered bed count as shown on our pricing page. We may adjust pricing with 30 days notice.

5.2 Payment Terms

Fees are payable monthly or annually in advance. All fees are non-refundable except as expressly stated. Late payments may incur interest at 3% above the Bank of England base rate.

5.3 Taxes

All fees are exclusive of VAT, which will be added where applicable.

6. Intellectual Property

6.1 Our IP

We own all intellectual property rights in the Platform, including software, designs, and documentation. These Terms do not transfer any IP rights to you.

6.2 Feedback

If you provide suggestions or feedback about the Platform, we may use it to improve our services without obligation to you.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party. This includes Customer Data, pricing information, and business practices. This obligation survives termination of these Terms.

8. Warranties and Disclaimers

8.1 Our Warranties

We warrant that:

  • The Platform will perform substantially as described
  • We have appropriate security measures in place
  • We will provide reasonable support for the Platform

8.2 Disclaimer

Except as expressly stated, the Platform is provided "as is". We do not warrant that the Platform will be error-free, uninterrupted, or meet all your requirements. We are not responsible for decisions made based on Platform data.

9. Limitation of Liability

9.1 Exclusions

Neither party excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by law

9.2 Limitations

Subject to section 9.1, our total liability under these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

10. Term and Termination

10.1 Term

These Terms begin when you subscribe and continue until terminated.

10.2 Termination by You

You may cancel your subscription at any time. Monthly subscriptions end at the next billing date. Annual subscriptions end at the annual renewal date.

10.3 Termination by Us

We may terminate or suspend access if you:

  • Breach these Terms and fail to remedy within 14 days of notice
  • Fail to pay fees when due
  • Become insolvent or cease operations

10.4 Effect of Termination

Upon termination:

  • Your access to the Platform will end
  • You must pay any outstanding fees
  • You may request data export within 30 days
  • We will delete Customer Data within 90 days unless required by law

11. General Terms

11.1 Governing Law

These Terms are governed by English law. Disputes will be resolved in English courts.

11.2 Changes to Terms

We may update these Terms with 30 days notice. Continued use after changes take effect constitutes acceptance.

11.3 Assignment

You may not assign these Terms without our consent. We may assign our rights to a successor entity.

11.4 Entire Agreement

These Terms, together with any Order Form and our policies, constitute the entire agreement between us regarding the Platform.

11.5 Severability

If any provision is found unenforceable, the remaining provisions continue in effect.
